OPERATING PARTNERS AND BOARD OF BUSINESS EXECUTIVES
Operating Partners referenced herein are not employees of Gridiron Capital, but are third-party consultants expected to be regularly used by, or associated with Gridiron Capital, and who are currently compensated by investment vehicles and the portfolio companies with which they are directly involved. Specifically, Operating Partners receive an annual retainer and expense reimbursement from the investment vehicles and board fees, transaction fees, employee compensation and expense reimbursement from portfolio companies. In addition, Operating Partners often participate in the management incentive plan of portfolio companies at which they serve as board members and often co-invest in such portfolio companies. Going forward, it is expected that such Operating Partners will be similarly compensated, pro rata, by Gridiron Capital-sponsored investment vehicles and their portfolio companies.
Board of Business Executives members referenced herein are not employees of Gridiron Capital, but are third-party consultants expected to be regularly used by, or associated with Gridiron Capital, and who are currently compensated by investment vehicles and the portfolio companies with which they are directly involved. Specifically, Board of Business Executives members receive expense reimbursement from investment vehicles and board fees, transaction fees, employee compensation and expense reimbursement from portfolio companies. In addition, Board of Business Executives members often participate in the management incentive plan of portfolio companies at which they serve as board members and often co-invest in such portfolio companies. Going forward, it is expected that such Board of Business Executives members will be similarly compensated, pro rata, by Gridiron Capital-sponsored investment vehicles and their portfolio companies.
